Capital Change Notice – Issue of Shares

This notice relates to the issue of new shares following the completion of a Share Offer announced on 26 March 2024 in which fully paid ordinary shares in Trade Window Holdings Limited ("TWL") are being issued. For the purposes of NZX Listing rule 4.17.9(c), the placement component of the Share Offer was open to existing and new institutional and other select investors. The key objectives of the capital raising was to secure the funds needed to drive organic growth in Australia, provide a pathway to profitability in FY25, and support existing software solutions. There were no significant exceptions or deviations from the approach or objectives that TWL took in identifying investors and determining allocations.
