Amendment to conditions of Capital Notes, redemption FBI190

Fletcher Building Industries Limited (FBI) advises that the trustee for the noteholders of each series of Capital Notes issued by the company has, in accordance with the Trust Deed, agreed to amendments to the conditions of the Capital Notes. This is to allow FBI to elect to redeem all Capital Notes of a series on the applicable Election Date for that series, as an alternative to the procedure for rollover of the Capital Notes on new terms. The Election Date for the FBI190 Capital Notes is on 17 March 2025 (being the first business day after the Election Date (15 March 2025), which is a Saturday). FBI has elected to redeem all of the FBI190 Capital Notes on 17 March 2025. A redemption notice has been issued to holders of the FBI190 Capital Notes. A copy of the form of redemption notice is provided with this announcement. As the rollover procedure under the Trust Deed will not apply, there will be no offer of new terms for the FBI190 Capital Notes. For each FBI190 Capital Note redeemed, FBI (or its nominee) will pay to the relevant FBI190 noteholder the redemption amount equal to the principal amount of the FBI190 Capital Note (NZ$1.00) plus the final interest payment. Payment will be made in the same manner as past interest payments. Noteholders of the FBI190 Capital Notes do not need to take any action for their Capital Notes to be redeemed. FBI advises all noteholders that it is important that their details are current to ensure they receive the redemption payment.
