Smartpay Scheme Implemented

Smartpay Holdings Limited (Smartpay) announces that the scheme of arrangement with Shift4 Holdings Limited (Shift4) has been implemented. Following implementation, Shift4 holds all of the shares in Smartpay. Payment of Scheme consideration In accordance with the terms of the Scheme, Smartpay shareholders who were recorded on Smartpay’s share register at the Scheme Record Date, being 7:00 pm (NZDT) on 31 October 2025, have today been paid NZ$1.20 per Smartpay Share. Delisting of Smartpay Trading in Smartpay shares on the NZX Main Board and ASX was suspended at the close of trading on 29 October 2025 and Smartpay will cease to be listed by NZX and ASX at the close of trading today. Change of directors and officers With effect on and from implementation, Gregor Barclay, Matthew Turnbull, Geoffrey Carrick, Shelley Ruha and Carlos Gil resigned as directors of Smartpay and Taylor Lauber and Jordan Frankel have been appointed as directors of Smartpay. Martyn Pomeroy will continue as a director of Smartpay.
