Clarification: Proceeds of circa $58.3M for UK divestment

16 February 2026 NZX | ASX | MEDIA RELEASE TOURISM HOLDINGS LIMITED (thl) CLARIFICATION: PROCEEDS OF CIRCA $58.3M FOR UK DIVESTMENT Earlier this morning, Tourism Holdings Limited (NZX:THL, ASX:THL, “thl” or “the Company”) advised that it had entered into a conditional agreement to sell its UK & Ireland business assets to Indie Campers, an RV rental company headquartered in Portugal, at net asset value plus goodwill of NZ$8.0M (£3.5M). thl wishes to clarify that total proceeds from the sale are expected to be circa NZ$58.3M, comprising: • net asset value of the assets sold of up to approximately NZ$51.7M (£22.7M); • goodwill of approximately NZ$8.0M (£3.5M); less • costs associated with certain obligations and other transaction-related expenses of approximately NZ$1.4M (£0.6M). In addition, thl has retained ownership of its Edinburgh property and certain inventory vehicles. The Company intends to sell these assets during calendar 2026 and expects to realise incremental proceeds of up to NZ$7.0M (£3.1M). These proceeds would be in addition to the proceeds from the sale of the UK & Ireland business.
