Dividend Reinvestment Plan Strike Price

Genesis Energy (“Genesis”) advises that the issue price for shares to be issued in lieu of cash for the 2026 Interim Dividend under its Dividend Reinvestment Plan (“DRP”) is NZ$2.05 per share. The Board exercised its discretion in exceptional or unusual circumstances to adjust the DRP sale price so that the DRP strike price was set as an amount equal to the lower of (i) the DRP strike price calculated under the usual DRP methodology as contemplated under the terms of the DRP, with no discount applied; and (ii) the New Zealand dollar issue price payable under Genesis’ underwritten pro rata renounceable rights offer to raise NZ$300 million announced on 23 February 2026 (“Rights Offer”). In this case, the New Zealand dollar issue price payable of NZ$2.05 per share under the Rights Offer applies. Shareholders who are eligible to receive the dividend and have elected to participate in the DRP in respect of the dividend will receive shares, instead of cash, in respect of the dividend payable on 25 March 2026. The new shares will rank equally with existing shares on issue as at the date of their issue.
